ENTERPRISE SOFTWARE COMPANIES EMPTORIS AND DICARTA MERGE, ANNOUNCE NEW INTEGRATED SUPPLY AND CONTRACT MANAGEMENT SOLUTION

New software provides global customers with greater controls on corporate spending and new contract compliance offering

Burlington, MA and San Carlos, CA — (April 10, 2006) — Emptoris, an Enterprise Supply Management solutions provider for Global 2000 companies and diCarta, Inc., a leading provider of Enterprise Contract Management software, today announced the completion of their merger in the first quarter. This follows a two and a half year partnership. Teams from the two companies had been working closely together for the past nine months. The combined company, Emptoris, delivers enhanced solutions to large companies that accelerate profitable growth through comprehensive supply management and enterprise-wide contract management.

The two software companies hailed by independent research firms for being number one for their current offerings have experienced strong customer and revenue growth. In 2005, customers used the companies’ software to analyze over $3 trillion of spend, to source over $110 billion of products and services, to manage contracts totaling over $65 billion, and to deliver approximately $14 billion in bottom line savings.

The combined company will have 360 employees and will continue operations under the Emptoris name at its headquarters in Burlington, Massachusetts, and diCarta’s San Carlos, California, offices.

Significant Scale
Emptoris now has more than 150 enterprise customers including leaders such as ConocoPhillips, GlaxoSmithKline, Kraft, Motorola, and United Healthcare. Emptoris has a strong global presence across Europe and Asia Pacific, with the product deployed and supported in over 51 countries and in 16 languages.

Since 2001, Emptoris has delivered unique technologies that consistently capitalize on industry changes to support the growth of its customers. New Compliance Solution
With the new compliance solution, customers can manage and monitor financial, contract and procurement controls, ensuring the regulatory and operational health of their business. Highly flexible, this solution includes spend-to-contract compliance, procure-to-pay control monitoring and Sarbanes Oxley (Sox) 404 compliance reporting.

New Integrated Product
Emptoris also announced Emptoris 6, a fully integrated solution for spend analysis, sourcing, contract management, compliance and supplier performance management. This release follows months of joint development between Emptoris and diCarta and delivers comprehensive support for supply management and contract management processes. The release also includes a user portal that allows customers to access all solutions seamlessly.

SAP Solution Integration
Leveraging existing “Powered by SAP NetWeaver” certification attained for certain modules in prior releases, Emptoris provides these market-leading offerings on SAP’s NetWeaver Application Server (SAP NetWeaver AS) with integration to the SAP NetWeaver Portal. Customers can quickly and easily deploy these offerings in their SAP NetWeaver environment. Emptoris will continue to certify additional modules over the next six months.
